I am also frequently called upon to assist the real estate team in the tax treatment of landlord incentives, for example on the grant of retail unit leases. My advice covers the transactional stamp duty land tax, value added tax and construction industry scheme issues as well as direct tax consequences of property transactions.
I have a particular interest in the VAT issues affecting ‘pubco’ clients with buyers of non-core pub assets often repurposing old pubs for other uses such as residential or mosques.
I provide property finance advice to banks including acting for the lender on a number of social housing LSVT projects and on lending to student housing developments.
I advise buyers, sellers and management on the tax effects of corporate M&A transactions. This includes reviewing financial due diligence to ensure that proper protection is secured on the acquisition, through negotiating tax indemnity and warranty protection. I also advise on the structure of transactions including earn-out arrangements and new management incentivisation.
As I am responsible for leading the DWF precedent project to deliver practical, useful, simple and accessible tax precedents, and training course material, I can leverage these resources to be shared with clients and provide training for in-house legal teams on tax issues.
